These Terms of Service ("Terms") govern the use of the KlubBase platform ("Service") provided by MBM Digital Solutions, Haldenstrasse 13, 8640 Rapperswil, Switzerland ("Provider", "we", "us").

These Terms apply to all users, particularly sports clubs and associations ("Customer", "you") who register for and use our Service.

By registering for KlubBase, you accept these Terms. The contract is formed upon our confirmation of your registration via email.

KlubBase is a cloud-based Software-as-a-Service (SaaS) platform for sports club management, including:

• Modern, customizable club website
• Member and player management
• Automatic synchronization of match data from national football associations
• Sponsor management
• Mass mailing and push notifications
• Progressive Web App (PWA) for mobile access

We strive for 99.5% availability (excluding planned maintenance). Maintenance windows will be announced at least 48 hours in advance.

The specific features available depend on your selected subscription plan.

To use KlubBase, you must register with accurate and complete information. You are responsible for:

• Providing truthful information during registration
• Keeping your login credentials confidential
• All activities under your account
• Notifying us immediately of unauthorized access

Each club may maintain only one active account. Accounts are non-transferable without our prior written consent.

Subscription fees are based on the selected plan (Basic, Pro, Premium) with an annual billing cycle. Current pricing is available on our website.

• Annual subscription with automatic renewal
• Payment is due in advance for the 12-month period
• We accept credit card, bank transfer, and other payment methods as specified
• Price changes will be communicated at least 60 days before the next renewal
• In case of payment default, we reserve the right to suspend service after a 14-day grace period and written notice

All prices are in Swiss Francs (CHF) and exclude applicable VAT.

Your subscription begins on the date of registration confirmation and continues for one year.

• Annual subscription with automatic renewal for another year
• You may cancel with 30 days notice before the end of the annual period
• Cancellation must be submitted in writing via email to info@klubportal.com
• No refunds for partial periods

We reserve the right to terminate immediately for cause, including material breach, non-payment, or illegal use.

Upon termination, you may export your data within 30 days. After this period, we may delete your data in accordance with our data retention policy.

We provide the Service "as-is" and make reasonable efforts to ensure reliability and security.

Our liability is limited in accordance with Swiss law:
• We are liable for damages caused by intent or gross negligence
• Liability for slight negligence is excluded to the extent permitted by law
• Total liability is limited to the fees paid in the 12 months preceding the claim

Mandatory liability under Swiss law remains unaffected.

Applicable Law: These Terms are governed by Swiss law.

Jurisdiction: The exclusive place of jurisdiction is Rapperswil, Switzerland.

Severability: If any provision is invalid, the remaining provisions continue in full force.
